Coach Terms

Last updated October 27, 2026

These terms apply when you use PlateSet as a coach (anyone with a coach plan and an invite code). They add to the Terms of Use, which also apply to you. PlateSet is run by Ironleaf Health LLC ("we"). You agree to these terms when you tick the box before starting coaching.

1. You're independent

You run your own coaching business. You're not our employee, agent or partner, and we don't supervise, review or endorse your advice. Your clients are your clients: your agreement with them, your prices and how you work are between you and them. PlateSet is a tool you use with them.

2. Your advice is your responsibility

3. Client safety

4. Your clients' data

5. Your coach plan

6. What you can't do

We can suspend or end your coaching access if you break these terms, or if a client reports serious harm and we reasonably believe it came from your coaching. If we do, we'll tell you why when we can.

7. Responsibility for claims

If someone else (such as a client, a client's family or a government agency) brings a claim against us that comes from your coaching or advice, your breach of these terms, or your breach of a law in handling client data, you agree to defend us and cover (indemnify us for) the resulting damages, fines, settlements you agreed to, and reasonable legal fees. This covers only claims brought by others, not disputes between you and us. You don't have to cover any part of a claim to the extent it was caused by our own breach of these terms or the Terms of Use, our negligence or our misconduct; where both of us share the blame, each of us covers our own share.

If we ask you to cover a claim, we'll tell you about it promptly (a late notice only reduces what you owe to the extent the delay hurt your defense), let you run the defense with a lawyer we reasonably accept, and help where we reasonably can. We may also take part with our own lawyer, at our own cost. We won't settle it in a way that makes you pay or admit fault without your agreement, and you won't settle it in a way that does that to us without ours.

8. Limits on our responsibility

PlateSet, including the starter workout templates, is provided "as is", without warranties of any kind, to the extent the law allows. To the extent the law allows, we aren't responsible for your coaching or its results, we're not liable for indirect or consequential losses (such as lost profits or lost clients), and our total liability to you for anything related to PlateSet is limited to the greater of what you paid us in the 12 months before the claim, or $50. This is the same limit as section 8 of the Terms of Use, and the two don't add together. These limits don't apply to death or personal injury caused by our negligence, or to our gross negligence, willful misconduct or fraud. Nothing in these terms limits liability that the law doesn't allow to be limited.

Disputes between you and us about your coaching are settled under section 10 below, not section 10 of the Terms of Use.

9. Changes

If we change these terms in a way that matters, we'll tell you in the app and ask you to agree again before you keep coaching. A change to section 10 won't apply to a dispute already filed, or one you'd already told us about in writing, before you agreed to the change, and you can opt out of a changed section 10 as that section describes.

10. Settling disputes between you and us

Coaching on PlateSet is a business use, so disputes about it are business disputes. This section applies, instead of section 10 of the Terms of Use, to any dispute between you and us that arises from or relates to your coach account, your coach plan, these terms, or your use of PlateSet as a coach. Disputes about your own logging as a person, unrelated to coaching, stay under the Terms of Use.

Talk to us first. Email support@getplateset.com with your name, your account email and what you'd like us to do. We'll both try in good faith to sort it out within 30 days before either of us starts a claim.

Arbitration. If we can't, the dispute will be settled by binding individual arbitration run by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, including its expedited procedures when they apply (adr.org), before one arbitrator, under the Federal Arbitration Act and Wisconsin law. Hearings will be by video unless the arbitrator decides one in person is needed, and then in Wisconsin. Fees follow the AAA's rules, except that if your share of the filing and administration fees would be more than the fee to file the same claim in a Wisconsin state court, we'll pay the difference. The arbitrator can award the same individual relief a court could, including legal fees where a law or these terms allow them.

Exceptions. Either of us may instead bring an individual claim in small claims court, and either of us may go to court for an order to stop misuse of client data, confidential information or intellectual property.

No class actions. Claims may be brought only individually, not as a plaintiff or class member in a class, collective or representative action, and an arbitrator can't combine claims of more than one coach. If this paragraph can't be enforced for a particular claim, that claim goes to court, not arbitration.

Court. Claims that go to court, and any case to enforce or challenge an award, go to the state or federal courts in Wisconsin, and you and we agree to those courts' jurisdiction. To the extent the law allows, you and we each give up a jury trial in those cases.

Opting out. You can opt out of the arbitration and class action parts of this section within 30 days of first agreeing to a version of these terms that includes them (including if you agreed to earlier Coach Terms), or of agreeing to a later change to them, by emailing support@getplateset.com with the subject "Coach arbitration opt-out" and your account email. If you already opted out of arbitration under the Terms of Use, that counts here too. Opting out doesn't affect the rest of these terms.

Earlier disputes. This section doesn't apply to a dispute already filed in court or arbitration before you agreed to it.

If any other part of this section can't be enforced, the rest still applies. Otherwise, these terms are governed by Wisconsin law, as in section 11 of the Terms of Use.
